JOBNOTI TERMS OF SERVICE Effective Date: September 18, 2026 These Terms of Service ("Terms") govern your access to and use of JobNoti, a job discovery and notification service operated by Programking LLC ("Programking," "we," "us," or "our"). By accessing or using JobNoti, including our website, applications, notifications, and related services (collectively, the "Service"), you agree to these Terms. If you do not agree to these Terms, do not use the Service. 1. ABOUT JOBNOTI JobNoti helps users discover employment opportunities based on job titles, keywords, locations, experience levels, work preferences, and other criteria provided by the user. JobNoti is a product operated by Programking LLC. JobNoti is not an employer, staffing agency, recruiter, employment agency, or career placement agency. We do not make hiring decisions on behalf of employers. JobNoti does not guarantee that you will receive a particular job opportunity, interview, response from an employer, or employment offer. 2. ELIGIBILITY You must be at least 18 years old to use JobNoti unless applicable law permits you to use the Service at a younger age with appropriate authorization. By using JobNoti, you represent that: - You are legally capable of entering into these Terms. - The information you provide is accurate and current. - You will use the Service only for lawful purposes. - You will comply with all applicable laws and regulations. If you use JobNoti on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms. 3. YOUR JOB SEARCH JobNoti allows you to create job searches and notification preferences. You are responsible for providing accurate and useful search information, which may include: - Job titles - Keywords - Locations - Remote-work preferences - Experience levels - Compensation preferences - Employment types - Other search criteria JobNoti uses this information to identify potentially relevant employment opportunities. JobNoti does not guarantee that every job matching your criteria will be identified, delivered, or presented to you. Job listings may become unavailable, expire, change, or be removed before or after JobNoti sends you a notification. You are responsible for reviewing the original job posting and verifying its accuracy before applying. 4. THIRD-PARTY JOB LISTINGS JobNoti may display, summarize, organize, or link to job opportunities originating from third-party websites, employers, recruiters, job boards, and other sources. JobNoti does not necessarily control these third-party sources and does not guarantee the accuracy, completeness, availability, legality, or timeliness of information provided by them. A job listing displayed through JobNoti does not constitute an endorsement or recommendation of the employer, recruiter, position, or third-party website. When you select an application or external job link, you may be directed to a third-party website. Your use of that website is governed by its own terms, privacy policies, and other applicable policies. 5. NO GUARANTEE OF EMPLOYMENT JobNoti is a job discovery and notification tool. WE DO NOT GUARANTEE EMPLOYMENT. JobNoti does not guarantee: - That you will receive job notifications. - That a particular job will be a good fit. - That an employer will contact you. - That an employer will review your application. - That you will receive an interview. - That you will receive an employment offer. - That a job will remain available after notification. - That job information will always be accurate or complete. Employment decisions are made solely by employers and other hiring organizations. 6. NOTIFICATIONS JobNoti may send notifications through email or other communication methods supported by the Service. Notification timing may vary depending on factors including job availability, data sources, technical limitations, third-party systems, and your search settings. You understand that: - Notifications may occasionally be delayed. - You may receive multiple notifications for similar opportunities. - Some notifications may contain opportunities that are no longer available. - JobNoti cannot guarantee delivery of every notification. - Email delivery may be affected by your email provider, spam filters, network conditions, or other factors outside our control. You are responsible for maintaining an email address capable of receiving JobNoti communications. 7. FREE AND PAID SERVICES JobNoti may offer free and paid features. We reserve the right to introduce, modify, or discontinue pricing, plans, features, or usage limits at any time. If you purchase a paid subscription or other paid feature, you agree to pay all applicable charges presented to you at the time of purchase. Unless otherwise stated at checkout: - Subscriptions may automatically renew for the applicable billing period. - Your payment method may be charged at the beginning of each renewal period. - You may cancel future renewals through the available account or subscription controls. - Cancellation does not necessarily entitle you to a refund for amounts already charged. Any refund terms presented at the time of purchase will also apply. 8. PAYMENTS AND TAXES Payments may be processed by third-party payment providers. By providing payment information, you authorize Programking LLC or its payment provider to charge applicable fees. You are responsible for any taxes, duties, or similar governmental charges applicable to your purchases, except taxes imposed on Programking LLC's income. Programking LLC is not responsible for errors caused by your payment provider or financial institution. 9. YOUR ACCOUNT Certain JobNoti features may require you to create an account. You are responsible for: - Maintaining the confidentiality of your account credentials. - Providing accurate account information. - Keeping your account information current. - All activity occurring through your account. You must notify us if you believe your account has been accessed without authorization. You may not sell, transfer, or provide access to your account to another person unless expressly permitted by Programking LLC. 10. ACCEPTABLE USE You agree not to use JobNoti to: - Violate any applicable law or regulation. - Infringe the rights of another person or organization. - Attempt to gain unauthorized access to the Service. - Circumvent security or access controls. - Interfere with the operation of the Service. - Introduce malware, viruses, or other harmful code. - Scrape, crawl, harvest, or systematically extract data from JobNoti except through functionality expressly provided by us. - Reverse engineer or attempt to derive the source code of the Service, except where such restriction is prohibited by law. - Use automated systems to abuse, overload, or interfere with the Service. - Create accounts for fraudulent or abusive purposes. - Resell or commercially exploit the Service without our written permission. - Use JobNoti to facilitate unlawful employment discrimination or other unlawful activity. We reserve the right to suspend or terminate access to users who violate these restrictions. 11. INTELLECTUAL PROPERTY JobNoti and its associated software, design, branding, text, graphics, interfaces, functionality, and other materials are owned by or licensed to Programking LLC and are protected by applicable intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, sell, or commercially exploit JobNoti or its proprietary materials without prior written permission from Programking LLC, except where such restriction is prohibited by law. The JobNoti name, logo, trademarks, and related branding are owned by or used by Programking LLC. 12. USER CONTENT You may provide information to JobNoti, including job-search preferences, keywords, profile information, and other content ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant Programking LLC a limited license to use, store, process, reproduce, modify, and transmit that content as reasonably necessary to operate, maintain, improve, and provide the Service. You represent that you have the necessary rights to provide the User Content to us. 13. PRIVACY Your use of JobNoti is also subject to our Privacy Policy. SERVICE AVAILABILITY We strive to keep JobNoti available and operational, but we do not guarantee uninterrupted or error-free access. The Service may occasionally be unavailable because of: - Maintenance - Updates - Infrastructure failures - Third-party service outages - Internet failures - Security incidents - Changes to third-party data sources - Other circumstances beyond our reasonable control We may modify, suspend, or discontinue any portion of the Service at any time. 15. ACCURACY OF INFORMATION JobNoti may obtain information from third-party sources. Although we may use reasonable efforts to identify relevant and current information, we do not warrant that information provided through the Service is: - Accurate - Complete - Current - Reliable - Error-free - Available at all times You should independently verify important information with the original employer or job source. 16. DISCLAIMERS TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PROGRAMKING LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR PRODUCE ANY PARTICULAR RESULT. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK. 17. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROGRAMKING LLC, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. THIS INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF EMPLOYMENT OPPORTUNITIES, LOSS OF DATA, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF: 1. THE AMOUNT YOU PAID TO PROGRAMKING LLC FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR 2. $100. Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you. 18. INDEMNIFICATION To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Programking LLC, its affiliates, officers, directors, employees, contractors, and service providers from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from: - Your use or misuse of the Service. - Your violation of these Terms. - Your violation of applicable law. - Your violation of another person's rights. - Content or information you submit through the Service. 19. TERMINATION You may stop using JobNoti at any time. We may suspend or terminate your access to the Service if: - You violate these Terms. - We reasonably believe your use creates a security or legal risk. - Your use is fraudulent or abusive. - Required by law. - We discontinue the Service. Upon termination, provisions of these Terms that by their nature should survive termination will remain in effect, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution. 20. CHANGES TO THESE TERMS We may update these Terms from time to time. When we make material changes, we may provide notice through the Service, email, or other reasonable means. The updated Terms will become effective on the date indicated at the beginning of the updated Terms. Your continued use of JobNoti after the effective date constitutes acceptance of the updated Terms, to the extent permitted by applicable law. 21. GOVERNING LAW These Terms will be governed by and interpreted in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising from or relating to these Terms or the Service will be subject to the applicable courts located in the applicable courts located in the State of Florida, unless otherwise required by applicable law. 22. DISPUTE RESOLUTION Before initiating a formal legal proceeding, you agree to first contact us and attempt to resolve the dispute informally. Nothing in these Terms prevents either party from seeking emergency injunctive or equitable relief when permitted by law. 23. CLASS ACTION WAIVER To the extent permitted by applicable law, you and Programking LLC agree that any legal dispute will be brought on an individual basis and not as part of a class, collective, or representative action. Nothing in this section applies where prohibited by applicable law. 24. SEVERABILITY If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect. 25. ENTIRE AGREEMENT These Terms, together with any policies expressly incorporated into them, constitute the entire agreement between you and Programking LLC concerning your use of the Service. They supersede prior agreements or understandings concerning the Service, except where otherwise expressly stated. 26. NO WAIVER Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future. 27. ASSIGNMENT You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
